4. Your Feedback

By enrolling in the Soft Launch you will have the ability to: (a) download, test, evaluate, and analyze the Experimental Software (b) and provide feedback, analysis, suggestions, and comments to Threds (including, but not limited to, bug reports and test results) (collectively, “Feedback”).

By participating in the Soft Launch, you agree that Threds may contact you from time to time about the Soft Launch, and you hereby consent to receive such communications. By participating in the Soft Launch, you also agree that any Feedback you provide will become the property of Threds and you agree that Threds may use or otherwise exploit all or part of your Feedback or any derivative thereof in any manner or media now known without any further remuneration, compensation or credit to you. You represent and warrant that you have the right to enter into this Agreement and assign and grant the rights set forth herein, and that any Feedback which is provided by you hereunder is original work made solely by you and does not infringe any third party intellectual property rights.

5. Confidential Information

By participating in the Soft Launch, you agree that Threds may contact you from time to time about the Soft Launch, and you hereby consent to receive such communications. By participating in the Soft Launch, you also agree that any Feedback you provide will become the property of Threds and you agree that Threds may use or otherwise exploit all or part of your Feedback or any derivative thereof in any manner or media now known without any further remuneration, compensation or credit to you. You represent and warrant that you have the right to enter into this Agreement and assign and grant the rights set forth herein, and that any Feedback which is provided by you hereunder is original work made solely by you and does not infringe any third party intellectual property rights.

By participating in the Soft Launch, you agree that Threds may contact you from time to time about the Soft Launch, and you hereby consent to receive such communications. By participating in the Soft Launch, you also agree that any Feedback you provide will become the property of Threds and you agree that Threds may use or otherwise exploit all or part of your Feedback or any derivative thereof in any manner or media now known without any further remuneration, compensation or credit to you. You represent and warrant that you have the right to enter into this Agreement and assign and grant the rights set forth herein, and that any Feedback which is provided by you hereunder is original work made solely by you and does not infringe any third party intellectual property rights.

Obligations Regarding Confidential Information. You agree to: (a) use Confidential Information only for the Purpose; (b) not disclose Confidential Information to any third parties (including the sharing of unreleased/experimental product images); and (c) use the same degree of care, but no less than a reasonable degree of care (including reasonable security measures), to prevent the unauthorized use, dissemination, or publication of Confidential Information as you would use to protect your own confidential information of like nature.

By participating in the Soft Launch, you agree that Threds may contact you from time to time about the Soft Launch, and you hereby consent to receive such communications. By participating in the Soft Launch, you also agree that any Feedback you provide will become the property of Threds and you agree that Threds may use or otherwise exploit all or part of your Feedback or any derivative thereof in any manner or media now known without any further remuneration, compensation or credit to you. You represent and warrant that you have the right to enter into this Agreement and assign and grant the rights set forth herein, and that any Feedback which is provided by you hereunder is original work made solely by you and does not infringe any third party intellectual property rights.

6. Discussion Forums

By participating in the Soft Launch, you agree that Threds may contact you from time to time about the Soft Launch, and you hereby consent to receive such communications. By participating in the Soft Launch, you also agree that any Feedback you provide will become the property of Threds and you agree that Threds may use or otherwise exploit all or part of your Feedback or any derivative thereof in any manner or media now known without any further remuneration, compensation or credit to you. You represent and warrant that you have the right to enter into this Agreement and assign and grant the rights set forth herein, and that any Feedback which is provided by you hereunder is original work made solely by you and does not infringe any third party intellectual property rights.

7. Consent to Collection and Use of Data

By participating in the Soft Launch, you agree that Threds may contact you from time to time about the Soft Launch, and you hereby consent to receive such communications. By participating in the Soft Launch, you also agree that any Feedback you provide will become the property of Threds and you agree that Threds may use or otherwise exploit all or part of your Feedback or any derivative thereof in any manner or media now known without any further remuneration, compensation or credit to you. You represent and warrant that you have the right to enter into this Agreement and assign and grant the rights set forth herein, and that any Feedback which is provided by you hereunder is original work made solely by you and does not infringe any third party intellectual property rights.

8. No Support and Maintenance

By participating in the Soft Launch, you agree that Threds may contact you from time to time about the Soft Launch, and you hereby consent to receive such communications. By participating in the Soft Launch, you also agree that any Feedback you provide will become the property of Threds and you agree that Threds may use or otherwise exploit all or part of your Feedback or any derivative thereof in any manner or media now known without any further remuneration, compensation or credit to you. You represent and warrant that you have the right to enter into this Agreement and assign and grant the rights set forth herein, and that any Feedback which is provided by you hereunder is original work made solely by you and does not infringe any third party intellectual property rights.

9. No Compensation or Employment

By participating in the Soft Launch, you agree that Threds may contact you from time to time about the Soft Launch, and you hereby consent to receive such communications. By participating in the Soft Launch, you also agree that any Feedback you provide will become the property of Threds and you agree that Threds may use or otherwise exploit all or part of your Feedback or any derivative thereof in any manner or media now known without any further remuneration, compensation or credit to you. You represent and warrant that you have the right to enter into this Agreement and assign and grant the rights set forth herein, and that any Feedback which is provided by you hereunder is original work made solely by you and does not infringe any third party intellectual property rights.

10. Termination or Discontinuation

By participating in the Soft Launch, you agree that Threds may contact you from time to time about the Soft Launch, and you hereby consent to receive such communications. By participating in the Soft Launch, you also agree that any Feedback you provide will become the property of Threds and you agree that Threds may use or otherwise exploit all or part of your Feedback or any derivative thereof in any manner or media now known without any further remuneration, compensation or credit to you. You represent and warrant that you have the right to enter into this Agreement and assign and grant the rights set forth herein, and that any Feedback which is provided by you hereunder is original work made solely by you and does not infringe any third party intellectual property rights.

11. Notices

By participating in the Soft Launch, you agree that Threds may contact you from time to time about the Soft Launch, and you hereby consent to receive such communications. By participating in the Soft Launch, you also agree that any Feedback you provide will become the property of Threds and you agree that Threds may use or otherwise exploit all or part of your Feedback or any derivative thereof in any manner or media now known without any further remuneration, compensation or credit to you. You represent and warrant that you have the right to enter into this Agreement and assign and grant the rights set forth herein, and that any Feedback which is provided by you hereunder is original work made solely by you and does not infringe any third party intellectual property rights.

12. No Warranty from Threds

YOU EXPRESSLY AGREE THAT YOUR PARTICIPATION IN THE SOFT LAUNCH IS AT YOUR OWN RISK. THE SOFT LAUNCH IS AVAILABLE ON AN "AS IS" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. THREDS EXPRESSLY DISCLAIMS ON ITS OWN BEHALF AND ON BEHALF OF ITS EMPLOYEES, AGENTS, ATTORNEYS, CONSULTANTS, OR CONTRACTORS ANY AND ALL WARRANTIES INCLUDING, WITHOUT LIMITATION (i) ANY WARRANTY OR REPRESENTATION WHATSOEVER REGARDING THE OPERATION OF THE SOFT LAUNCH, THE AVAILABILITY, ACCURACY OR CONTENT OF ANY INFORMATION, SERVICES, OR PRODUCTS PROVIDED OR AVAILABLE THROUGH OR IN CONNECTION WITH THE SOFT LAUNCH, THE EXPERIMENTAL SOFTWARE, THREDS, AND/OR THE THREDS WEB SITE OR ANY RESULTS OBTAINED THROUGH THE USE THEREOF, AND (ii) THE WARRANTIES OR CONDITIONS OF NONINFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR ANY PARTICULAR PURPOSE. SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS, WHICH VARY FROM STATE TO STATE.

13. Limitations of Liability

YOU EXPRESSLY AGREE THAT YOUR PARTICIPATION IN THE SOFT LAUNCH IS AT YOUR OWN RISK. THE SOFT LAUNCH IS AVAILABLE ON AN "AS IS" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. THREDS EXPRESSLY DISCLAIMS ON ITS OWN BEHALF AND ON BEHALF OF ITS EMPLOYEES, AGENTS, ATTORNEYS, CONSULTANTS, OR CONTRACTORS ANY AND ALL WARRANTIES INCLUDING, WITHOUT LIMITATION (i) ANY WARRANTY OR REPRESENTATION WHATSOEVER REGARDING THE OPERATION OF THE SOFT LAUNCH, THE AVAILABILITY, ACCURACY OR CONTENT OF ANY INFORMATION, SERVICES, OR PRODUCTS PROVIDED OR AVAILABLE THROUGH OR IN CONNECTION WITH THE SOFT LAUNCH, THE EXPERIMENTAL SOFTWARE, THREDS, AND/OR THE THREDS WEB SITE OR ANY RESULTS OBTAINED THROUGH THE USE THEREOF, AND (ii) THE WARRANTIES OR CONDITIONS OF NONINFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR ANY PARTICULAR PURPOSE. SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS, WHICH VARY FROM STATE TO STATE.

14. Indemnification

You agree to indemnify, defend, and hold harmless Threds, our parents, subsidiaries, affiliates, officers, directors, co-branders and other partners, employees, consultants, and agents, from and against any and all third party claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys’ fees and court costs) that such parties may incur as a result of or arising from: (i) your use of the Products or Services (except to the extent prohibited by law); (ii) your violation of these Terms of Use; (iii) your violation of any rights of any other person or entity; (iv) any content, information or materials you upload to the Services; or (v) any viruses, Trojan horses, worms, time bombs, spyware, malware, cancelbots or other similar harmful or deleterious programming routines input by you into the Services.

15. Entire Agreement

These Terms, the Threds Terms of Service and Privacy Policy are the entire and exclusive agreement of the parties regarding the subject matter of this Agreement and supersedes all previous communications, representations, understandings and agreements, either oral or written, between you and Threds. Threds may modify the terms of this Agreement at any time which will be published and found on the Threds website here. Your continued participation in the Soft Launch after such modifications shall be deemed to be continued acceptance of this Agreement including its amendments and modifications.

16. Governing Law

This agreement is governed by Delaware law.

17. Severability; Complete Understanding

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. This Agreement, including any appendices made effective pursuant to this Agreement and any additional licenses accompanying the Threds Experimental Software, constitutes the entire agreement with respect to the Confidential Information disclosed herein and supersedes all prior or contemporaneous oral or written agreements concerning such Confidential Information. Any inconsistencies between this Agreement and any license agreement accompanying the Threds Software will be governed by the license agreement accompanying the Threds Software. Except as expressly set forth herein, any waiver or amendment of any provision of this Agreement shall be effective only if in writing and signed by authorized representatives of both parties.
